Research Handbook on Shareholder Inspection Rights - A Comparative Perspective (Hardcover): Randall S. Thomas, Paolo Giudici,... Research Handbook on Shareholder Inspection Rights - A Comparative Perspective (Hardcover)
Randall S. Thomas, Paolo Giudici, Umakanth Varottil
R6,402 Discovery Miles 64 020 Ships in 12 - 17 working days

Shareholder inspection rights form an important tool for shareholder protection. They offer shareholders seeking information private access to specific books and records of the company that are otherwise not publicly available. While there has been a discourse on the topic in some jurisdictions such as Delaware (USA), it has not received scholarly treatment at an international level. This Research Handbook seeks to alter that, and signifies the first endeavor to engage in a comprehensive and comparative analysis of shareholder inspection rights across 19 different jurisdictions representing five continents. Themes emerging from the study include the historical evolution of inspection rights, the statutory design of the inspection regime, how inspection rights interact with disclosure norms under securities regulation, and the manner in which inspection rights are actually utilized by shareholders. While there is some commonality among jurisdictions, the larger story is one of divergence, which is understandable since local needs tend to drive the design and operation of the regime. The Research Handbook on Shareholder Inspection Rights is invaluable to academics, scholars, and students working the area of corporate law and governance, legal practitioners working in corporate law and, in particular, shareholder litigation and regulators and government bodies overseeing the corporate sector, including corporate and securities regulators.

Polymer composites are materials in which the matrix polymer is reinforced with organic/inorganic fillers of a definite size and shape, leading to enhanced performance of the resultant composite. These materials find a wide number of applications in such diverse fields as geotextiles, building, electronics, medical, packaging, and automobiles.

This first systematic reference on the topic emphasizes the characteristics and dimension of this reinforcement. The authors are leading researchers in the field from academia, government, industry, as well as private research institutions across the globe, and adopt a practical approach here, covering such aspects as the preparation, characterization, properties and theory of polymer composites.

The book begins by discussing the state of the art, new challenges, and opportunities of various polymer composite systems. Interfacial characterization of the composites is discussed in detail, as is the macro- and micromechanics of the composites. Structure-property relationships in various composite systems are explained with the help of theoretical models, while processing techniques for various macro- to nanocomposite systems and the influence of processing parameters on the properties of the composite are reviewed in detail. The characterization of microstructure, elastic, viscoelastic, static and dynamic mechanical, thermal, tribological, rheological, optical, electrical and barrier properties are highlighted, as well as their myriad applications.

Divided into three volumes: Vol. 1. Macro- and Microcomposites; Vol. 2. Nanocomposites; and Vol. 3. Biocomposites.

Epoxy resins are polymers which are extensively used as coating materials due to their outstanding mechanical properties and good handling characteristics. A disadvantage results from their high cross-link density: they are brittle and have very low resistance to crack growth and propagation. This necessitates the toughening of the epoxy matrix without impairing its good thermomechanical properties. The final properties of the polymer depend on their structure. The book focuses on the microstructural aspects in the modification of epoxy resins with low molecular weight liquid rubbers, one of the prime toughening agents commonly employed. The book follows thoroughly the reactions of elastomer-modified epoxy resins from their liquid stage to the network formation. It gives an in-depth view into the cure reaction, phase separation and the simultaneous development of the morphology. Chapters on ageing, failure analysis and life cycle analysis round out the book.

Research Handbook on Executive Pay (Paperback): Randall S. Thomas, Jennifer G. Hill Research Handbook on Executive Pay (Paperback)
Randall S. Thomas, Jennifer G. Hill
R1,600 Discovery Miles 16 000 Ships in 12 - 17 working days

Research on executive compensation has exploded in recent years, and this volume of specially commissioned essays brings the reader up-to-date on all of the latest developments in the field. Leading corporate governance scholars from a range of countries set out their views on four main areas of executive compensation: the history and theory of executive compensation, the structure of executive pay, corporate governance and executive compensation, and international perspectives on executive pay. The authors analyze the two dominant theoretical approaches - managerial power theory and optimal contracting theory - and examine their impact on executive pay levels and the practices of concentrated and dispersed share ownership in corporations. The effectiveness of government regulation of executive pay and international executive pay practices in Australia, the US, Europe, China, India and Japan are also discussed. A timely study of a controversial topic, this Handbook will be an essential resource for students, scholars and practitioners of law, finance, business, and accounting. Contributors: C. Amatucci, R. Research Handbook on Shareholder Power (Hardcover): Jennifer G. Hill, Randall S. Thomas Research Handbook on Shareholder Power (Hardcover)
Jennifer G. Hill, Randall S. Thomas
R8,171 Discovery Miles 81 710 Ships in 12 - 17 working days

The most pressing challenge in corporate governance today is figuring out how to modulate the power given to public investors. Too little is harmful, but so is too much. Finding the sweet spot is very tricky. This Research Handbook makes the quest a little easier. It collects in one place a set of thoughtful and provocative essays, authored by leading academic experts from around the world, on a range of topics related to corporate governance and the power of shareholders. Very highly recommended.' - Jesse Fried, Harvard Law School, US'The Research Handbook on Shareholder Power offers a state-of-the-art collection of original essays on the most profound development in corporate governance in recent decades: the growth of shareholder power as against managerial dominance. From the 1960s through at least the mid-1980s one would hear only cries bemoaning shareholder vulnerability. Managers were in control. Today it is at least as common to hear complaints by managers that they are being persecuted by activist shareholders. The reader of the Handbook will come away with an acute understanding of how and why this happened, and how all this reverberates in countries.' - Donald C. Langevoort, Georgetown University, US 'Edward Elgar's Research Handbook on Shareholder Power is an excellent collection of essays by leading scholars in the fields of corporate law and corporate governance. Professors Hill and Thomas are to be commended for delivering this valuable and timely volume on a fascinating and crucial topic.' - Brian Cheffins, University of Cambridge, UK Much of the history of corporate law has concerned itself not with shareholder power, but rather with its absence. Recent shifts in capital market structure require a reassessment of the role and power of shareholders. These original, specially commissioned contributions by leading scholars in corporate law and financial economics provide a contemporary analysis of shareholder power and consider the regulatory consequences of changing ownership patterns around the world. The book begins with chapters on shareholder activism by institutional investors, hedge funds, and controlling shareholders. Further chapters explore the relationship between shareholders and the board of directors, shareholder activism around mergers and acquisitions, and turf battles during shareholder litigation. The final section offers a number of international perspectives on shareholder power in Asia, Europe, and the Americas. Students and scholars of corporate law will value the Handbook's timely exploration of modern shareholder power as well as its fresh perspective and scope. Contributors: S. Bainbridge, M. Becht, M. The Truth of You - Poetry About Love, Life, Joy, and Sadness (Paperback): Iain S. Thomas The Truth of You - Poetry About Love, Life, Joy, and Sadness (Paperback)
Iain S. Thomas
R218 Discovery Miles 2 180 Ships in 12 - 17 working days

This is the truth of you. Because you are all I see. Because you are all I breathe. Because when I cannot find you, I am lost. Because when I'm with you, I am found. Because you have the fire of the universe in you, and sometimes you forget. So this book is here to remind you. Dear You, I want you to know that I see you. I want you to know that even if no one else does, even if you are a ghost in this bookshop, or just the static floating across the screen of your computer, wherever you're reading this, I see you. I see you in the dark and I see you in the grey. I see you as a story, as words I have spoken or may yet speak. Maybe only in a memory or a dream. I see your hands and your arms and your body and your legs and your face and I see what you have been and what you will be. I see you and in looking at you, I want you to know that whoever you've had to be to survive all this, I will not look away. I want you to know that there's a space inside this book for you. So if you have the time and the inclination, you can sit here with me, just for a while. And perhaps between us, we can see everything that matters. -pleasefindthis

The Cuban Revolution - 25 Years Later (Paperback): Hugh S. Thomas, Juan Carlos Weiss, Georges A. Fauriol, Hugh Thomas Of... The Cuban Revolution - 25 Years Later (Paperback)
Hugh S. Thomas, Juan Carlos Weiss, Georges A. Fauriol, Hugh Thomas Of Swynnerton
R1,269 Discovery Miles 12 690 Ships in 12 - 17 working days

January 1984 marked the 25th anniversary of Fidel Castro's emergence to power. The Cuban Revolution: 25 Years Later is a product of the CSIS Cuba Project, a long-term effort to focus public as well as policymaker's attention on Cuba-related affairs. The lead author, Lord Thomas of Swynnerton, is the dean of political-historical studies on Cuba, and author of the encyclopedic Cuba: The Pursuit of Freedom. A great deal of myth surrounds the evolution of Cuba since Castro's emergence to power over 25 years ago. Some of this myth is the product of official Cuban propaganda; some of it is also due to a generally misinformed American public. Sifting through available data to distinguish between fact and fiction, this book evaluates broadly the impact of Castro's regime on Cuba itself. Based on the findings of the CSIS Cuba Project, the book draws on the assessments of 18 top Cuban specialists on the political, economic, cuiturai, and social development of Cuba since 1959. In contrast to democracies such as Costa Rica, the equalization of society that has taken place under Castro's leadership has been accomplished by redistributing existing resources, not by creating new wealth. Moreover, the authors conclude that in politics, culture, and the economy, Cuba under Castro has become and remains rigid, stagnant, enormously militarized, and ideologically absolutist.
